Designing and implementing effective compensation structures to attract, retain and give incentives to talented senior management are critical components of any banks operating strategy.

However, achieving these goals has become increasingly difficult in the past year due to the adoption of the Sarbanes-Oxley Act of 2002 and a number of other initiatives in the marketplace, including proposals regarding corporate governance issued by the New York Stock Exchange, the NASDAQ Stock Market and the Conference Boards Commission on Public Trust and Private Enterprise.
