Rethinking the compensation committee

If there is one area where boards are going to be criticized in the next year-and with considerable justification-it will be in the way they handle executive compensation.

In some cases, executive compensation has gotten completely out of hand. Payments to the CEO sometimes run into tensand even hundreds of millions of dollars in a single year. There are companies who have more than 25 percent of their stock outstanding in options. There are options outstanding that will pay CEOs incredibly large amounts for unbelievably small amounts of corporate earnings increases.
