Corporations have been around for centuries. They originally evolved as a way to give investors in an enterprise limited liability.

The corporation, being a collection of investors with a government charter was considered to be a person. As a person, the corporation is responsible for its own debts, but the individual shareholders have no personal liability.

Corporations are creatures of state law. Each state has its own requirements and procedures for creating a corporation under the laws of that state.
