In May 2001, FleetBoston Financial Corp. chief executive Terrence
Murray resigned from the compensation committee of CVS Corp.'s board
of directors. A few weeks later, CVS chief executive Thomas Ryan,
already a Fleet director, joined that board's compensation committee.
Chad Gifford, meanwhile, who replaced Murray in January, sits on
the board of directors at NStar, whose chief executive, Thomas May,
also is a Fleet director and a compensation committee member.
