UNION PACIFIC, USPCI OFFICIALS MET BEFORE OFFERING

In 1985, before the consummation of the initial public offering for
USPCI Inc.'s stock, the firm's two top officials met with Union
Pacific Corp. officials to determine if Union Pacific wanted to
invest its pension plan in USPCI, according to documents filed
relating to Union Pacific's attempted USPCI takeover.
That contact was established by USPCI's Chairman W.M. Beard and

UNION PACIFIC CAN HIKE STAKE IN BEARD TO 50%, SAYS FTC
