Rio Grande will buy S. Pacific // Santa Fe to sell railroad for $1.8 billion, but other bidders protest

Chicago-based Santa Fe Southern Pacific Corp. Monday said it
agreed to sell its Southern Pacific Transportation Co., one its two
main railroads, for about $1.8 billion to Rio Grande Industries, as
part of Santa Fe's previously announced restructuring plan.
But the deal was criticized by Kansas City Southern Industries
and the Railway Labor Executives Association, two of four suitors
that lost out in the deal to Rio Grande, and the Henley Group, Santa
Fe's single largest shareholder.
Robert D. Krebs, Santa Fe's chief executive officer, said terms
