(TSX:SAS) ("St Andrew or the Company") wishes to announce that the Company intends to replace the recently announced public offering of units and common shares on a "flow-through" basis with a private placement of up to $20 million of subscription receipts ("Subscription Receipts") for common shares on a "flow- through" basis ("Flow Through Shares") and up to $10 million of Subscription Receipts for units ("Units") for gross proceeds of up to $30 million (the "Subscription Receipts Offering").
