The consolidation of the U.S. Specialty Chemical sector continues with Crompton & Knowles's (C&K) and Witco's agreement to form a $3.2- billion/year company, C&K Witco. In a tax-free, stock-for-stock merger of equals, C&K will hold a 55% stake in the new company. Each share of C&K stock will be converted into a share of the new company, and Witco stock will be exchanged for 0.9242 shares of C&K Witco.
