CHICAGO (FNS) -- Beatrice Foods Co. is preparing a $2,500,000,000 offer for Esmark, Inc., topping a $2,426,000,000 offer by Kohlberg, Kravis, Roberts made about two weeks ago.
Beatrice, a diversified corporation with sales last year of $9,327,000,000, plans to offer $56 a common share against $55 offered by KKR and $39.76 per convertible preferred share compared with $39.05 by KKR, a leveraged buyout specialist.
Esmark top management has already agreed to the KKR proposal so the Beatrice bid may run into opposition from management or set off a bidding war.
