OHM AND RUST MERGER AGREEMENT AMENDED; OHM SHAREHOLDER VOTE NOW SCHEDULED FOR MAY 23

FINDLAY, Ohio, May 5 /PRNewswire/ -- OHM Corporation (NYSE: OHM) and Rust International Inc. (NYSE: RST) today announced that they have amended the terms of the agreement related to the previously announced proposed merger of Rust's hazardous waste and nuclear remediation services businesses into OHM. Pending timely clearance by the Securities and Exchange Commission of a revised proxy statement, the transaction will be considered for approval at OHM's Annual Meeting of Shareholders, now scheduled for May 23. Closing of the merger is anticipated shortly thereafter.
