Cardinal Health Inc. plans to purchase Viasys Healthcare Inc. for about $1.54 billion to broaden its clinical and medical product portfolio and expand its international business.

Conshohocken, Pa.-headquartered Viasys manufactures respiratory and critical care products-many of which use elastomers, including masks, breathing bags, closed suction systems, accessories and others.

Under an agreement reached recently by the two firms, Cardinal Health will acquire the outstanding stock of Viasys for $42.75 per share. The price includes the assumption ...
