Avoiding antitrust compliance difficulties in mergers and acquisitions.

Hospital executives are wary of transactions that may result in legal action for violation of antitrust laws. This attitude has been brought about by highly publicized legal cases against hospitals and healthcare providers. However, eight categories of transactions are relatively free of intervention from antitrust law enforcement agencies. These categories include taxable cooperatives, tax-exempt cooperatives, failing company mergers, joint ventures, state action transactions, mergers between noncompetitors, small marketshare transactions and pro-competitive transactions.
