Mar. 15--For the fifth time in 20 years, Michael Eisner is negotiating an employment contract with the Walt Disney Co.

But there's something new this time around. In the previous negotiations -- when he joined the company in 1984, and when his contract was renegotiated in 1989, 1996 and 2000 -- Eisner dealt from a position of strength.

Not this time. His 10-year contract, which expires in September 2006, is being amended because the board of directors stripped Eisner of his chairman title, leaving him as the company's chief executive officer.
